1. About Us

Independent Paint Supplies Ltd (“we”, “us”, “our”) operates the website https://www.ipspaint.co.uk/ (the “Site”). We supply paints, coatings, consumables, tools and related equipment for automotive, commercial, industrial and marine applications.

2. These Terms

By accessing the Site or placing an order, you agree to be bound by these Terms & Conditions (the “Terms”). Additional policies referenced here (for example our Privacy Policy and Delivery Policy) form part of these Terms. If you do not agree, please do not use the Site.

3. Definitions

  • Consumer: an individual acting for purposes wholly or mainly outside their trade, business, craft or profession (Consumer Rights Act 2015).
  • Business Customer: any customer that is not a Consumer.
  • Bespoke/Mixed Goods: products tinted, mixed or cut to your specification (for example, colour-matched or custom-tinted paint).
  • Working Day: Monday to Friday, excluding public holidays in England & Wales.

4. Eligibility & Responsible Use

  • You must be at least 18 to place orders. It is illegal in the UK to sell aerosol spray paint to persons under 16; by purchasing aerosols you confirm you are 16 or over (Anti-social Behaviour Act 2003, s.54).
  • Always follow the relevant Technical Data Sheets (TDS) and Safety Data Sheets (SDS). Where products are marked “Professional/Industrial Use Only”, you confirm you have the competence and legal controls (for example, COSHH) to use them.

5. Website Use & Intellectual Property

  • Content is for general information and may change without notice. We take care to keep it accurate but do not warrant completeness or that the Site will be uninterrupted or error-free.
  • All intellectual property on the Site belongs to us or our licensors. You may not reproduce Site content without permission.
  • Third-party names and trademarks are acknowledged.

6. Products, Images & Colours

  • Product descriptions, data sheets and images are provided for guidance. Due to screen/printing differences and raw-material tolerances, reasonable colour or finish variation may occur. Always carry out a test application.
  • We may substitute equivalent or superior alternatives if a component is unavailable, without materially affecting performance.

7. Prices, VAT & Payment

  • Prices shown on our Site are in GBP and exclude VAT. Delivery charges are shown at checkout or in our Delivery Policy.
  • We may change prices or promotions at any time prior to contract formation. Obvious pricing errors are not binding and we may cancel and refund.
  • Payment methods are as shown at checkout. For approved business credit accounts, separate credit terms apply.

8. Ordering & Contract Formation

  • Your order is an offer to buy. We will acknowledge receipt by email; acceptance occurs only when we dispatch the products (the “Contract”).
  • We may reject an order (for example, due to stock issues, delivery restrictions, pricing error, or failed checks). Any payment taken will be refunded.
  • Bespoke/Mixed Goods: once mixing or tinting has begun, orders cannot be cancelled and such goods are non-returnable except if faulty.

9. Delivery & Risk

  • We deliver to UK addresses as set out in our Delivery Policy. Hazardous goods (for example, flammable paints or aerosols) may require specialist couriers, carry surcharges, and may be restricted in certain postcodes or offshore locations.
  • Delivery dates are estimates. We are not liable for delay caused by events outside our control (see Clause 17).
  • Risk in the goods passes on delivery. Title passes on receipt of cleared funds (see Clause 13).
  • On delivery you must check for visible damage or short delivery and notify us within 48 hours; otherwise we may be unable to claim against the carrier.

10. Cancellations & Returns

10.1 Consumers (distance sales)

  • You have a 14-day cooling-off period from the day after delivery to cancel under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013, except for:
    • Bespoke/Mixed Goods (custom-tinted/colour-matched, cut-to-size etc.).
    • Sealed items not suitable for return once opened for health/safety reasons (if applicable).
  • To cancel, contact us with your order number. You must return goods within 14 days of telling us, unused, in original packaging. You are responsible for return costs and safe transit (hazardous goods must use compliant carriage).
  • We will refund the product price and the standard outbound delivery cost (not premium services) within 14 days of receiving the goods back or evidence of return. We may deduct for diminished value caused by handling beyond what is necessary to establish the nature, characteristics and functioning of the goods.

10.2 Faulty or Misdescribed Goods

  • If a product is faulty or not as described, contact us promptly with photos and batch/lot numbers. Consumers may be entitled to a refund within 30 days; otherwise to repair or replacement. Your statutory rights are not affected.

10.3 Business Customers

  • Unless otherwise agreed in writing, returns for Business Customers are at our discretion within 14 days from invoice date, subject to goods being unused and in original packaging. A restocking charge of up to 15% and carriage fees may apply. Bespoke/Mixed Goods are non-returnable except for verifiable faults.

11. Accounts & Personal Information

  • You are responsible for keeping login details confidential and for all activity under your account.
  • We process personal data in accordance with UK GDPR and the Data Protection Act 2018. See our Privacy Policy for details.

12. Safety & Compliance

  • Always read and follow the product label, TDS and SDS before use. Use appropriate PPE and ventilation and comply with COSHH and other applicable regulations.
  • Ensure suitability for your application; we do not provide design, specification or engineering advice unless expressly agreed in writing.

13. Title & Risk (Retention of Title)

  • Ownership of goods remains with us until we receive full payment in cleared funds. Until then, you must store goods separately, keep them identifiable and insured, and not create any charge over them. If you become insolvent or default on payment, we may recover goods.

14. Warranties & Liability

  • Except as expressly stated, products are supplied with the manufacturer’s warranty (if any). We do not exclude or limit liability for death or personal injury caused by our negligence, fraud, or other liability that cannot legally be limited.
  • For Consumers, we are responsible for foreseeable loss and damage caused by us. We are not liable for loss that is not foreseeable, for business losses, or for failures caused by improper storage or application contrary to TDS/SDS.
  • For Business Customers, to the fullest extent permitted by law: (i) all implied terms are excluded; (ii) our total liability arising out of or in connection with the Contract shall not exceed the price paid for the products to which the claim relates; and (iii) we exclude liability for loss of profit, revenue, goodwill or any indirect or consequential loss.

15. Promotions, Vouchers & Gift Cards

  • Promotional offers are subject to their stated terms, may be withdrawn without notice, and cannot be used in conjunction with other offers unless stated. Misuse may result in cancellation of the order.

16. Changes to the Terms & the Site

  • We may update these Terms from time to time. The version posted on the Site at the time you order will apply to that order. Please check back regularly.

17. Events Outside Our Control

  • We are not responsible for delay or failure due to events beyond our reasonable control (for example, courier disruption, raw-material shortages, strikes, extreme weather, fire, flood, or new regulations). We will take reasonable steps to minimise the effects.

18. Complaints & Dispute Resolution

19. Governing Law & Jurisdiction

  • These Terms and any Contract are governed by the laws of England and Wales. The courts of England and Wales shall have exclusive jurisdiction, except Consumers resident in Scotland or Northern Ireland may bring proceedings in their local courts.
